SOUTHWIRE BENDING SOLUTIONS CONTEST OFFICIAL RULES

1. Eligibility.  The Southwire Bending Solutions Contest (the “Contest”) is open to Contractor participants (the “Entrant”). 

This Contest is subject to all applicable federal, provincial, and local laws and regulations and is void where prohibited. Participation constitutes the Entrant’s full and unconditional agreement to these Official Rules and Sponsor’s decisions, which are final and binding in all matters related to the Contest. Winning a prize is contingent upon fulfilling all requirements set forth herein. Entrants must be the end user of eligible products (the “Products”). This Contest is not open to employees, officers or directors, or to members of the immediate family or household (whether related or not) of any employees, officers, or directors of Southwire Company, LLC (“Sponsor”), or any of its parents, subsidiaries, affiliates, franchisees, vendors, suppliers, distributors or any advertising, promotion or other agencies, involved in this Contest or their employees, officers or directors (collectively, the “Contest Entities”).  Eligibility may be verified at any time. 

2. Sponsor. Southwire Company, LLC (the “Sponsor”).

3. Contest Period. The Contest begins on September 1, 2025, at 12:00:01 a.m. Eastern Time (“ET”), and ends on December 31, 2025, at 11:59:59 p.m. ET (the “Contest Period”).  

4. How to Enter.  In order to enter the Contest, Entrants must purchase at least one (1) of the following Products listed below.  Entrants will receive the corresponding number of Contest entries based on the Product(s) purchased by Entrant.

After the purchase of any of the above eligible Products, Entrants may enter the Contest using the following link.  Entrants must enter all requested information and upload proof of purchase in order to be eligible for Contest to win the Prize.

5. Drawing and Winner Notification. After the close of the Contest Period, Sponsor will randomly select the potential winner for each prize from all eligible entries on or around the approximate Contest Period end date listed above.  The potential winner will be notified by telephone and/or mail and/or email, in Sponsor’s discretion, using the contact information given at the time of entry and/or provided in connection with the Entrant’s account.  Sponsor shall have no liability for any winner notification that is lost, intercepted or not received by a potential winner for any reason.  If a potential winner does not respond as instructed within three (3) days after the first notification attempt, or if the prize or prize notification is returned as unclaimed or undeliverable to such potential winner, such potential winner may be disqualified and an alternate winner may be selected.  If any potential winner is found to be ineligible, or if he or she has not complied with these Official Rules or declines a prize for any reason prior to award, such potential winner will be disqualified, and an alternate winner may be selected. Each potential winner may be required to execute an Affidavit of Eligibility, and (where legal) a Publicity Release.

6. Prize. The verified winner will receive the following Prize:

GRAND PRIZE: One (1) side by side utility vehicle with a maximum delivered value of $18,000 or less (the “Prize”).  

Prize will be awarded "AS IS." Sponsor does not offer any warranty or guarantee, either express or implied (including, without limitation, quality, merchantability and fitness for a particular purpose) in connection with this Contest or any prize. Prize details and availability are subject to change, in which case a prize of equal value may be substituted at Sponsor's sole discretion. Prize consists only of the item listed, is non-transferable, with no cash redemption or substitution except at Sponsor's sole discretion. Prize is subject to terms, conditions, expiration dates, and restrictions imposed by the carrier or manufacturer of the prize. Federal, state, and local taxes on prizes, if any, and any other costs, fees and expenses not listed above as specifically included as part of the Prize are the sole responsibility of Entrant.

Odds of winning depend on the number of eligible entries received and the time at which they were received.

7. Release. By participating in the Contest, all Entrants agree: to release and hold harmless the Sponsor and its parent companies, employees, agents, officers, directors, volunteers, members, subsidiaries, affiliates, trustees, distributors, and sales representatives (collectively, the “Released Parties”) from and against any claim, action, cause of action, or liability of any kind for actual or alleged injury, death loss, or damage to a person or property (collectively, any “Claim”), to waive any Claim against the Released Parties, and to indemnify and hold harmless the Released Parties from and against any third-party Claim arising out of or relating to participation in the Contest, the acceptance or receipt of any prize, use or misuse of any prize, or participation in any prize-related activity, including, but not limited to: (a) any technical errors that may prevent an Entrant from submitting an entry or otherwise participating; (b) unauthorized human intervention in any Contest; (c) errors in the administration of any Contest, the processing of entries, notification of the winners or announcement of the prizes; (d) any other errors or problems which may limit or affect a person’s ability to participate in the Contest for any reason; (e) any changes to any prize or any other award, or (f) injury, death, or damage to a person or property that may be caused, directly or indirectly, in whole or in part, from participation in the Contest or receipt or use of any prize. Released Parties assume no responsibility or liability for, shall not be responsible or liable for, any error, defect, delivery failure or omission in connection with, interruption, deletion, delay in operation or transmission, loss, theft, alteration or destruction of, or unauthorized access to, entries, any other error or event contemplated in the foregoing subsections (a) – (f), regardless of the cause thereof, and/or any other liability, loss, risk, incident or damage relating to or arising from the Contest, the conduct of Entrants or any prize. Without limiting the foregoing release, waiver and indemnity, each Entrant waives the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.

WITHOUT LIMITING ANY OTHER RELEASE, INDEMNIFICATION, OR LIMITATION OF LIABILITY IN THESE RULES, IN NO EVENT WILL THE RELEASED PARTIES BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND (INCLUDING WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES) ARISING OUT OF PARTICIPATION IN THIS CONTEST OR THE ACCEPTANCE, POSSESSION, USE, OR MISUSE OF, OR ANY HARM RESULTING FROM THE ACCEPTANCE, POSSESSION, USE OR MISUSE OF THE PRIZE.

Without limiting any other term in these rules, by participating or attempting to participate, each Entrant agrees to: (i) release and hold harmless the Released Parties (defined below) from any and all Claims, including, without limitation, liability for any injuries, death or losses or damages to persons or property as well as claims based on publicity rights, defamation, and/or invasion of privacy, (ii) waive any Claim against the Released Parties, and (iii) indemnify and hold harmless the Released Parties from and against any third-party Claim that may arise from participation in this Contest or its related activities or the acceptance, possession, use, or misuse of, or any harm resulting from the acceptance, possession, use or misuse of, the prize. Each Entrant also acknowledges that the Released Parties have neither made nor are in any manner responsible or liable for, and the Released Parties expressly disclaim, any warranty, representation or guarantee, express or implied, in fact or in law, relative to the prize, including without limitation the merchantability, fitness for a particular purpose, autograph authenticity, or value of the prize awarded and/or the performance, failure to perform or negligent performance by any Released Party, website operator, administrator, service provider, delivery provider, or any other third party in connection with the prize. Each Entrant acknowledges that the prize is provided “as is.”

8. Publicity. Except where prohibited by law, each Entrant grants (and agrees to confirm this grant in writing, if requested) permission for Sponsor and those acting under its authority to use his/her name, photograph, and/or likeness, for advertising and/or publicity purposes in any and all media now known or hereinafter invented without territorial or time limitations and without compensation.

9. General Conditions. Sponsor is not responsible for lost, late, misdirected, undelivered, incorrect, or inaccurate entry information whether caused by internet users or by any of the equipment or programming associated with or utilized in the Contest or by any technical or human error which may occur in the processing of the entries. Sponsor reserves the right to cancel, suspend and/or modify the Contest, or any part of it, if any fraud, bugs, virus, technical failures, or any other factor beyond Sponsor’s reasonable control impairs the integrity or proper functioning of the Contest, as determined by Sponsor in its sole discretion. In the event of cancellation, Sponsor may award the prizes from among all eligible, non-suspect entries received prior to cancellation in a manner it deems fair and just. Sponsor is not responsible for computer system, phone line, hardware, software or program malfunctions, or other errors, failures or delays in computer transmissions, the website, or network connections that are human or technical in nature. Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the entry process, the website, or the operation of the Contest or to be acting in violation of the Official Rules of this or any other promotion or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

10. Disputes. By entering the Contest, each Entrant agrees to the full extent permitted by law that (i) any and all disputes, claims, and causes of action arising out of or connected with the Contest, or any prizes awarded, including against any of the Released Parties, shall be resolved individually, without resort to any form of class action; (ii) without limiting any release, waiver, indemnity or limitation of liability in these Official Rules, the Released Parties’ liability, including any, judgment and/or award against the Released Parties, shall be limited to the actual out-of-pocket costs incurred by Entrant to enter and participate in the Contest, not to exceed fifty dollars (except in states where such monetary limitation is prohibited by law), and in no event shall the Released Parties be liable for attorney’s fees; and (iii) under no circumstances will any Entrant be permitted to obtain any award for, and each Entrant hereby waives all rights to claim, punitive, incidental or consequential damages and any and all rights to have damages multiplied or otherwise increased and any other damages, other than for actual out-of-pocket expenses identified in this “Disputes” section. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Entrants, Sponsor, or the Released Parties in connection with the Contest, shall be governed by and construed in accordance with the laws of the State of Georgia (without giving effect to any choice of law provisions that might designate another jurisdiction’s laws). Any legal proceedings arising out of this Contest or relating to these Official Rules shall be instituted only in the federal or state courts of Georgia, and the parties consent to jurisdiction therein with respect to any legal proceedings or disputes of whatever nature arising under or relating to these Official Rules. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any portion of any provision is determined to be invalid or otherwise unenforceable or illegal, such portion, to the limited extent necessary, shall be severed from these Official Rules, and these Official Rules shall otherwise remain in effect and be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.

11. Entrant's Personal Information. The Sponsor is collecting personal information about the Entrants for the purpose of administering this Contest. Any questions, comments or complaints regarding this Contest shall be directed to Sponsor. If you are selected as a winner, your information may also be included in a publicly available winners list.

12. Binding Rules. These Official Rules are a binding contract, so read them carefully before participating. Each Entrant agrees to abide by and be bound by these Official Rules and the decisions of the Sponsor, which are final and binding in all matters relating to the Contest. Winning a prize is contingent upon fulfilling all requirements set forth herein.

13. Winners List. For a list of winners, please send a single email addressed to BendingSolutions@southwire.com. Requests must be received within thirty (30) days of winner selection date.
